Terms of use

The terms on which this website is made available. They are not the terms of any engagement — those are set out in an engagement letter.

1Who operates this site

This site is operated by Voixa Consultors S.L., trading as BCAUN.IT, NIF B24744351, registered office at Carrer de Pallars 193, 08005 Barcelona, Spain, entered in the Registro Mercantil de Barcelona. We use a shared working address in Italy at Via Alfonso Borrelli 8-10, 90139 Palermo (PA); it is not a registered office, branch or establishment, and the operating entity is Spanish. 2No advice, no relationship

The central point

Everything on this site is general information. It is not legal, tax or investment advice, it is not a substitute for advice on your facts, and it must not be relied on for any transaction. Using this site, sending an enquiry or receiving a reply does not create a lawyer–client relationship and does not place us under a duty of confidentiality.

A relationship arises only when an engagement letter has been agreed in writing between us and the client. Until then, please do not send confidential or privileged material; the enquiry form asks you not to, and material sent before an engagement is not protected by any duty we owe.

Legal positions on Italian law are issued only under engagement and are signed by Italian qualified counsel. Notification filings are conducted with Italian co-counsel. We are not an Italian law firm and are not registered with an Italian bar as a firm.

3Accuracy and currency

The regimes described here change. Thresholds, sector definitions and procedural rules under Decree-Law 21/2012 are set by implementing decrees that are amended periodically, and the framework under Law 132/2025 is still being completed by implementing decrees that remain subject to change.

We take care to keep this site accurate and we date what we publish, but we give no warranty that any page is current, complete or applicable to your circumstances at the moment you read it. Figures reproduced here from published sources are verified against primary legislation before they appear in any client deliverable — not before they appear on this site.

4The triage tool

The triage tool applies simplified rules to four inputs and returns an indicative result. It does not classify a business against the implementing decrees, it does not trace an ownership chain, and it cannot determine that no notification is required. Its output is a filter, not an opinion, and it may not be relied on for any decision. Nothing you enter is transmitted to us or stored.

5Fee information

Fee ranges published on this site are indicative, describe engagements of typical scope, and are not an offer capable of acceptance. A fee becomes binding only when confirmed in writing for a specific engagement. Government charges, official translations and registry fees are additional and are passed through at cost.

6Acceptable use

  • Do not use this site unlawfully, or in a way that damages it or impairs its availability to others.
  • Do not attempt to gain unauthorised access to any part of it or to any system connected to it.
  • Do not scrape, systematically extract or republish its content for commercial purposes without our written consent.
  • Do not submit anything through it that is unlawful, or that you are not entitled to disclose.

7Intellectual property

The text, structure, design and code of this site belong to us or are used with permission. You may read, print and share individual pages for your own information or for internal professional use, provided the source is identified and the content is not altered. Any other reproduction, adaptation or commercial use requires our written consent.

References to legislation, decisions and public statistics are made for information and remain the property of their respective sources.

9Availability and liability

We do not warrant that this site will be available uninterrupted or free from error, and we may change, suspend or withdraw any part of it at any time.

To the fullest extent permitted by law, we exclude liability for any loss or damage arising from use of, or inability to use, this site, or from reliance on anything published on it. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Nothing in these terms affects the rights of a consumer under mandatory law.

Liability arising from an engagement is governed by the engagement letter, not by these terms.

10Law and jurisdiction

These terms and any non-contractual obligations arising from them are governed by Spanish law. The courts of Barcelona, Spain have exclusive jurisdiction, save that a consumer may bring proceedings in the courts of their place of residence and retains the protection of the mandatory rules of that jurisdiction.

We may update these terms. The version in force is the one published here, identified by the version number and date above.
